The Terms at a glance

The questions customers ask us most

A plain-language summary provided for convenience only. It does not replace, limit, or modify these Terms. The full text below governs in every case.

Who owns the data my organization puts into Loxis?

Your organization does. Loxis processes Customer Data only to provide the Services and as your organization instructs, as described in our Privacy Policy and Data Processing Agreement.

See Section 6

Does Loxis train AI models on our data?

No, unless your organization expressly agrees otherwise in writing. Before any Customer Data goes to an AI provider, Loxis replaces names and other direct identifiers with codes, and the key to reverse them never leaves Loxis.

See Section 6

Are Loxis results decisions?

No. Survey results, Team Analysis, and Loxi’s recommendations support human judgment; they do not replace it. Your organization makes its own decisions about its people.

See Section 2

Can I start for free?

Yes. QuickPlan and other free features are available without payment, subject to limits we describe when you sign up. Paid plans also offer a 14-day trial with no credit card, and the trial never converts to a paid plan by itself.

See Section 4

What if one person in my company breaks the rules?

We act on that user first. We restrict a whole organization only where a violation is severe, repeated, or systemic, or where the law requires it.

See Section 12

Which other documents apply?

The Acceptable Use Policy, the Privacy Policy, the Data Processing Agreement, and the Service Level Agreement all form part of these Terms.

See Section 1

1. The agreement and how it fits together

1.1 Who these Terms are between

These Terms of Service (“Terms”) are an agreement between Loxis.AI (“Loxis,” “we,” “us,” or “our”) and the organization or individual that accepts them (“Customer” or “you”). If you accept these Terms for a company or other organization, you confirm that you have authority to bind it, and “you” means that organization.

1.2 Documents that form part of these Terms

The following documents are incorporated into and form part of these Terms by this reference, as each is updated under its own terms:

  • the Loxis Acceptable Use Policy (“AUP”);
  • the Loxis Data Processing Agreement (“DPA”), which governs Customer Data we process on your behalf;
  • the Loxis Service Level Agreement (“SLA”), where your plan includes it; and
  • any order form, quote, or online plan selection you accept (an “Order”).

The Loxis Privacy Policy explains how we handle personal data as a controller. It is provided for information and is not a contract term.

1.3 Which document wins

If these documents conflict, they apply in this order: an Order signed by both parties; the DPA, for matters about Customer Data; these Terms; the SLA; and the AUP.

1.4 Business use

The Services are intended for business use by people aged 18 or over. You may not use the Services if you are under 18.

2. The Services, including AI outputs

2.1 What we provide

“Services” means our websites, QuickPlan, our behavioral surveys, Team Analysis, Loxi (the Loxis AI agent), the Loxis platform, and related products and services, as described on our website or in your Order. We will provide the Services in line with these Terms, the applicable documentation, and, where it applies, the SLA.

2.2 How Loxis results work

The Services use rule-based analytics, statistical methods, artificial intelligence, and machine-learning tools to produce outputs such as goal plans, behavioral profiles, trait positions, vitality and momentum readings, team fit analyses, alerts, coaching, and recommendations (“Outputs”).

2.3 Outputs support human judgment

Outputs are designed to inform decisions, not make them. Loxis does not hire, promote, pay, discipline, or terminate anyone. You must not use an Output as the sole basis for any decision that has legal or similarly significant effects on a person, and you are responsible for the decisions you make.

2.4 Outputs can be wrong

AI and statistical methods can produce inaccurate or incomplete results. You are responsible for reviewing Outputs before you rely on them or share them. Loxis Surveys describe work style and behavior. They are not clinical, psychological, or medical assessments.

3. Accounts, users, and seats

3.1 Your account

You must give accurate information when you create an account and keep it up to date. You are responsible for all activity under your account and must keep login credentials confidential.

3.2 Your users

You may invite your employees, contractors, applicants, and others you have a legitimate relationship with (“Users”) to use the Services for your benefit. You are responsible for your Users’ compliance with these Terms and the AUP.

3.3 Seats

Paid plans are sold as named seats. Each seat is assigned to one named User and may not be shared. You may reassign a seat when the User leaves your organization or changes role, and the same seat may not be reassigned again within 30 days of its last reassignment. If the number of Users exceeds the seats you have purchased, we will tell you and invoice the additional seats at your plan’s rate for the rest of the current term.

3.4 Tell us about misuse

Notify us promptly if you learn of any unauthorized use of your account or a security incident affecting it.

4. Free plans, QuickPlan, and trials

4.1 Free features

We may offer QuickPlan and other features free of charge (“Free Services”). Free Services are provided as-is, may have usage limits, and may be changed or withdrawn at any time. The SLA does not apply to Free Services.

4.2 Trials

We may offer a 14-day trial of a paid plan. No payment card is required to start a trial, and a trial never converts to a paid plan automatically. When the trial ends, access to paid features stops unless you choose a paid plan. If you do not convert, we keep trial data for 30 days so you can pick up where you left off, and then delete it.

5. Your responsibilities

You must:

  • use the Services only in line with these Terms, the AUP, your Order, and applicable law;
  • give your Users any notices the law requires and obtain any consents it requires before inviting them to a Survey or entering their data;
  • have a lawful basis for all Customer Data you submit; and
  • not submit sensitive personal data, such as health records, government identifiers, or biometric identifiers, unless Loxis has expressly agreed in writing to process it.

6. Customer Data

6.1 You own your data

“Customer Data” means data you or your Users submit to the Services, and data the Services generate from it, including Survey responses, goals, organization structures, and Outputs. As between you and Loxis, you own Customer Data.

6.2 Our limited right to use it

You grant Loxis a limited, non-exclusive right to process Customer Data only to provide, secure, support, and maintain the Services for you, as your Order and the DPA describe, and as the law requires. The DPA governs our processing of personal data within Customer Data.

6.3 What we do not do with it

Loxis does not sell Customer Data, does not use it for advertising, and does not use it to train generalized AI models or to build profiles for other customers, unless you expressly agree otherwise in writing. We require our AI and model providers to process Customer Data only to provide services to Loxis.

6.4 Pseudonymization before AI processing

Before Loxis sends Customer Data to a third-party AI or model provider, Loxis replaces names, email addresses, employee identifiers, and other direct identifiers with codes. The key that links those codes back to people stays on Loxis systems and is never shared with the provider. Loxis sends only the data reasonably necessary for the feature and restores the codes to names only inside the Services. AI and model providers are sub-processors, as the DPA describes. Pseudonymized data is still personal data, and these Terms, the DPA, and our Privacy Policy continue to protect it.

6.5 Aggregated and de-identified data

Loxis may use Customer Data that has been aggregated or de-identified to analyze and improve the Services, but only if we keep it in de-identified form and do not attempt to re-identify it.

6.6 Export and deletion

You can export Customer Data while your account is active. After your account ends, we delete Customer Data as described in Section 13.4 and the DPA.

7. Third-party services and integrations

7.1 Your choice to connect

The Services may let you connect third-party products, such as calendars, HR systems, or communication tools. If you enable an integration, you authorize Loxis to exchange Customer Data with that third party as needed to operate it.

7.2 Their terms apply

Third-party products are governed by their own terms and privacy notices. Loxis is not responsible for them, including for how they handle data you direct us to send them.

8. Fees, payment, and taxes

8.1 Fees

You agree to pay the fees in your Order or the plan you select. Unless the Order says otherwise, fees are billed in advance, in U.S. dollars, and are non-cancellable.

8.2 Payment

Payment card details are handled by our payment processor; Loxis does not store full card numbers. If you pay by invoice, payment is due within 30 days of the invoice date unless your Order says otherwise.

8.3 Late payment

Overdue amounts accrue interest at 1.5% per month or the highest rate the law allows, whichever is lower. If payment is more than 30 days overdue, we may suspend paid features after giving you at least 10 days’ written notice.

8.4 Refunds

Fees are non-refundable, and we do not give prorated refunds for early cancellation, except where these Terms, the SLA, or the law says otherwise.

8.5 Price changes

We may change prices for a renewal term by giving you at least 60 days’ notice before the renewal date.

8.6 Taxes

Fees exclude taxes. You are responsible for all sales, use, value-added, and similar taxes, other than taxes on Loxis’s income.

9. Changes to the Services

9.1 Improvements

We continually improve the Services and may add, change, or remove features. We will not make a change that materially reduces the core functionality of a paid plan during its current term.

9.2 Material removals

If we remove a material feature of a paid plan, we will give you at least 60 days’ notice. If the removal materially reduces the value of your subscription, you may end the affected subscription and receive a prorated refund of prepaid fees for the unused remainder.

10. Intellectual property and feedback

10.1 Loxis owns the Services

Loxis and its licensors own the Services, including the software, Survey content, scoring methods, models, prompts, designs, and the Loxis name and trademarks. These Terms do not transfer any of those rights to you.

10.2 Your right to use

Subject to these Terms and payment of applicable fees, Loxis grants you a limited, non-exclusive, non-transferable right for your Users to access and use the Services for your internal business purposes during your subscription.

10.3 Outputs

As between you and Loxis, Outputs generated from your Customer Data are Customer Data. Loxis keeps all rights in the methods and systems that produce them.

10.4 Feedback

If you give us suggestions or feedback, we may use them without restriction or payment to you.

11. Security

11.1 Our safeguards

Loxis maintains administrative, technical, and organizational safeguards designed to protect Customer Data. These include encryption in transit and at rest, access controls, least-privilege access, logging, vendor review, personnel training, backup and recovery, and an incident-response process. No system is perfectly secure, and we cannot guarantee absolute security.

11.2 Incidents

If we confirm a security incident affecting your Customer Data, we will notify you without undue delay and as the DPA requires, and we will share the information you reasonably need to meet your own obligations. To report a suspected vulnerability, follow the responsible-disclosure process in Section 3.3.1 of the AUP, at security@loxis.ai.

12. Suspension

12.1 When we may suspend

We may suspend access to the Services if we reasonably believe that suspension is needed to prevent harm to people or to the Services, to address a violation of these Terms or the AUP, to deal with a security threat, because of payment more than 30 days overdue, or because the law requires it.

12.2 Scope of suspension

We will limit any suspension to the Users, features, or content involved. We will suspend your whole account only where a violation is severe, repeated, or systemic, where you do not cooperate in resolving it, or where the law requires it.

12.3 Notice and restoration

Where it is safe and lawful, we will tell you before suspending and give you a reasonable chance to fix the problem. We will restore access promptly once the cause is resolved. Appeals follow Section 7 of the AUP, and we will respond in writing within 10 business days.

13. Term and termination

13.1 Term

These Terms start when you first accept them and continue until every subscription under them has ended. Paid subscriptions renew automatically for the same term unless either party gives notice of non-renewal before the renewal date, as your Order describes.

13.2 Termination for breach

Either party may end these Terms by written notice if the other party materially breaches them and does not fix the breach within 30 days of receiving notice of it.

13.3 Free accounts

You may close a free account at any time. We may close a free account after a long period of inactivity by giving notice to the account email.

13.4 What happens at the end

When a subscription ends, your right to use the paid Services stops. Export any Customer Data you want to keep before your subscription ends. We ordinarily return or delete Customer Data within 7 days after termination, and backup copies age out within 30 days, except where the law requires us to keep it longer.

13.5 Survival

Sections that by their nature should survive the end of these Terms survive, including Sections 6, 8 (for unpaid amounts), 10, 14, 15, and 17.

14. Warranties, disclaimers, and indemnities

14.1 Our commitments

Loxis warrants that the paid Services will perform materially as described in the applicable documentation. If they do not, your remedy is for us to correct the problem or, if we cannot do so within a reasonable time, for you to end the affected subscription and receive a refund of prepaid fees for the unused remainder.

14.2 Disclaimer

Except as expressly stated in these Terms, the Services and Outputs are provided “as is” and “as available.” To the extent the law allows, Loxis disclaims all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Loxis does not warrant that Outputs will be accurate, complete, or suitable for any particular decision.

14.3 Loxis indemnity

Loxis will defend you against any third-party claim alleging that the Services, as provided by Loxis, infringe that party’s intellectual property rights, and will pay the resulting damages and costs finally awarded or agreed in settlement.

14.4 Your indemnity

You will defend Loxis against any third-party claim arising from Customer Data, your use of the Services in breach of these Terms or the AUP, or decisions you make about people using Outputs, and will pay the resulting damages and costs finally awarded or agreed in settlement.

14.5 Process

The party seeking defense must notify the other promptly, give it control of the defense and settlement, and provide reasonable cooperation.

15. Limitation of liability

15.1 Cap

Except for the excluded claims in Section 15.2, each party’s total liability arising out of or relating to these Terms will not exceed the fees you paid or owed to Loxis in the 12 months before the event giving rise to the claim.

15.2 Excluded claims

The cap in Section 15.1 does not apply to your payment obligations, either party’s indemnity obligations, your breach of the AUP, either party’s breach of confidentiality, or liability arising from gross negligence, fraud, or willful misconduct.

15.3 Data breach

Loxis’s total liability for a breach of its security or data-protection obligations will not exceed three times the fees paid or owed in the 12 months before the event.

15.4 Excluded damages

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill, even if it was told they were possible.

15.5 Free Services

For Free Services, Loxis’s total liability will not exceed one hundred U.S. dollars (USD 100).

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and give you at least 30 days’ notice by email or through the Services before they take effect. Changes apply from your next renewal unless the law requires them sooner. If you do not agree to a material change, you may choose not to renew. A signed Order with fixed terms is not changed by an update unless both parties agree. Earlier versions are archived and available on request.

17. General terms

17.1 Governing law and venue

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws rules.

17.2 Disputes

Any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Maricopa County, Arizona. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives any right to bring or participate in a class, collective, or representative action, and the arbitrator may not consolidate claims or preside over any class or representative proceeding. Either party may still seek injunctive relief in court to protect its intellectual property or confidential information.

17.3 Informal resolution first

Before starting any formal proceeding, each party will try in good faith to resolve the dispute through direct discussion for at least 30 days after written notice of it.

17.4 Confidentiality

Each party will protect the other’s non-public business information with at least reasonable care, use it only to perform these Terms, and disclose it only to people who need to know it and are bound by similar duties.

17.5 Publicity

Loxis may name you as a customer and show your logo in its marketing materials. You can ask us to stop at any time by emailing us, and we will stop using your name and logo in new materials within a reasonable time.

17.6 Assignment

Neither party may assign these Terms without the other’s written consent, except to a successor in a merger, acquisition, or sale of substantially all of its assets, with notice to the other party.

17.7 Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.

17.8 Export and sanctions

You may not use the Services in violation of U.S. export-control or sanctions laws, or give access to anyone on a U.S. government restricted-party list.

17.9 Notices

We may send notices to the email address on your account. Legal notices to Loxis must be sent to the address in Section 18.

17.10 Whole agreement

These Terms, with the documents listed in Section 1.2, are the entire agreement between the parties on their subject and replace any earlier agreement on it. If a provision is unenforceable, the rest stays in effect. A failure to enforce a provision is not a waiver of it. The parties are independent contractors.
